Maximising growth through M&A

The event starts at 6.30pm (Registration from 6.00pm). The short talks and panel discussions last
approximately 1 ¼ hours and will be followed by cocktails and canapés - the ideal networking opportunity.
About the event
Growth is back on the agenda. While the opportunity to grow through acquisition is greater than it has been
in several years, in some ways, mergers and acquisitions are more challenging than ever. Shareholder
expectations are higher, deals take longer to close and are very expensive.
Despite the obstacles to overcome, merger mania is expected to continue in the year ahead as big pharma
corporations use more of their cash to buy biotechs, and biotech companies continue their consolidation
spree. As well as being necessary for big pharma, there is also a knock-on effect on young biotech
companies. For instance it is expected that we will see more M&A deals involving smaller Biotechs
in the near future as VC's urge to get exits and bring a positive return to investors.
So companies now seemingly have choices: going public, merging, none of the above or all of the above.
These choices are not mutually exclusive: public companies can (and do) merge with private and or other
public companies. So what should smaller companies strive for? Can they sort out in advance which path
to go down?
In particular, the following issues will be addressed:
- Understanding the drivers behind M&A in the pharma/biotech industry
- Extracting deal value - ensuring the integration is successful and synergies are captured on time
- Making the acquired company part of your culture
- What successful acquisitions have in common
- Are contested acquisitions ever worth the aggro?
- M&A versus other kinds of collaborations (JVs, licences etc.)
- Building an in-house M&A capability
- Is it possible to build a critical mass through M&A?
- The current level of M&A financing - could more be done?
- What kind of companies should consider an IPO and what sort should look to be acquired?
- How to groom your company for a merger, sale or divestiture
- What buyers are looking for now
- How to identify and approach buyers
Networking evening
One of the main reasons to attend this event is the opportunity to meet other key players within the industry,
whether they be CEOs, Finance Directors, other key Directors, Consultants, Lawyers etc.
The cocktail party immediately following the event (it is almost worth coming for the famous Four
Seasons canapés themselves!) is the ideal place to discuss matters in a less formal environment, whether
this discussion is directly related to the event topic or not.

Dr Nigel Parker PhD - Chief Executive Officer Ark Therapeutics
Dr Nigel Parker, aged 52, has been Chief Executive Officer of Ark since 1997. He has built and steered the
Group from one intellectual property filing of early stage pre-clinical science into its current stage of
development, recruiting the key senior executive staff, executing two rounds of private equity funding
totalling almost £30 million and the acquisition of Oy Quattrogene.
Since 1997 he has been responsible for the strategy and commercial focus of the Group. Throughout
his career, he has played a key role in establishing and developing pharmaceutical and healthcare
related companies. He was one of the founders of Walsh International Inc. (NASDAQ), a company that
provided software and information services to the pharmaceutical industry, is a former European Vice
President of Teva Pharmaceuticals Ltd and is a former European Vice President and corporate officer of
Pharmaceutical Marketing Services Inc. (NASDAQ).

John Dawson - Chief Executive Officer Alliance Pharmaceuticals Limited
John Dawson founded Alliance in 1996 he gained multi-disciplinary experience in
the pharmaceutical industry over thirty years. John held various senior roles at Sandoz
as director of finance and administration and deputy managing director. John has a
BSc (Pharmacy) and an MSc (Finance) from the London Business School.

Michael Flynn - Chief Executive Officer Sinclair Pharmaceuticals Limited
Dr. Flynn became Chief Executive Officer of Sinclair Pharma in August 2000 following a management buy-in of Sinclair
Pharmaceuticals Limited, which he led. Between 1998 and 2000, Dr Flynn privately acquired the rights to a
portfolio of products, which he brought to the Group. From June to November 1998, Dr.
Flynn was acting Chief Executive Officer of Cortecs Group plc where he held the position of
president between 1992 and June 1998 and of director between 1986 and 1992.
Between 1976 and 1986, he was medical director and president of Technology International Limited,
a Contract Research Organisation that Dr Flynn co-founded.
Prior to 1976, Dr. Flynn had worked as senior medical advisor to Crookes Laboratories Limited,
established Duphar Limited in the UK and spent approximately 5 years in the clinical research
department of Philips Duphar in Holland. Dr. Flynn has spent over 30 years in the pharmaceutical
industry and has served on the board of directors of approximately 30 private companies involved
in the healthcare sector. Dr. Flynn was elected a fellow by Distinction of the Faculty of
Pharmaceutical Medicine of the Royal Colleges of Physicians in 2001 and qualified as a physician
from Kings College Hospital, London.

Viggo Birch - Managing Director Novo Nordisk UK
Managing Director Novo Nordisk UK, Ireland, The Nordic Countries and Vice President Europe.
Viggo is a Business Economist from Copenhagen Business School and Wharton School, Pennsylvania
and has been 15 years with Novo Nordisk of which 11 years in Spain as Managing Director for
Spain & Portugal. Started in the UK October 2001. Prior to Novo Nordisk worked 11 years with
Mobil Oil in various sales, marketing and managerial positions. Latest as Director, Strategic
Planning Benelux and the Nordic Countries based in Rotterdam from 1984 to 1987.
